Mergers
Unilever PLC announced an agreement to acquire Sundial Brands,
a New York-based personal care products company. Sundial Brands
will operate as a standalone unit within Unilever. Sundial’s founder,
Richelieu Dennis, will continue to lead the business as CEO &
Executive Chairman. Terms of the transaction were not disclosed.
The transaction is expected to close in quarter one 2018.
Berry Global Group, Inc. announced that it has entered into a definitive
agreement to acquire the Clopay Plastic Products Co., Inc.,
a subsidiary of Griffon Corp., for $475 million in cash. The transaction
is expected to be completed in early 2018, subject to customary
closing conditions, including applicable regulatory approvals.
Shiseido Company, Ltd. has reached an agreement and signed the
contract on transferring skincare brand RéVive, which is owned by
its subsidiary Shiseido Americas Corp. (SAC), to Tengram Capital
Partners, LLC. RéVive had been owned by Gurwitch Products,
LLC, which joined Shiseido Group in July 2016 and merged through
absorption by SAC in December 2016.
TricorBraun has acquired Canadian-based Taipak, a flexible packaging
solutions provider headquartered in Richmond, BC. Taipak will
be renamed Taipak, A TricorBraun Co. and its current owners, Joey
Lin and Charanjit Hayre, will continue to manage the business.
Luxury accessories brand Jimmy Choo entered into an amended
license agreement with InterparfumsSA, extending their partnership
through Dec. 31, 2031. InterparfumsSA develops, manufactures
and distributes prestige perfumes and cosmetics as the exclusive
worldwide licensee for Montblanc, Jimmy Choo, Coach, Boucheron,
Van Cleef & Arpels, Karl Lagerfeld, Paul Smith, S.T. Dupont and
Repetto. The company also owns the Lanvin and Rochas fragrances
brands. Jimmy Choo is part of the Michael Kors Holdings Ltd.
luxury fashion group.
Aerogen Pharma, a developer of inhaled treatments for patients
in critical care, and Lyomark Pharma, provider of medicines for
the hospital market, are joining forces to develop a treatment for
Respiratory Distress Syndrome (RDS), a life-threatening condition
of preterm infants associated with long-term lung health issues in
survivors.
Symrise Aromas e Fragrâncias Ltda, a global supplier of fragrances,
flavorings, cosmetic base materials and substances, as well as functional
ingredients, completed the acquisition of Citratus Fragrâncias
Indûstria e Comércio Ltda, a producer of fragrances located in
Vinhedo, Brazil. Both parties have agreed not to disclose financial
details of the acquisition. Closing of the transaction is expected to
take place in January 2018.
Skinvisible, Inc. announced that it has entered into a proposed
merger with Quoin Pharmaceuticals Ltd. The new company will be
named Quoin Pharmaceuticals Inc. and it is anticipated that the
merger will take place in early 2018.
