Industry News DuPont and The Dow Chemical Co. announced that their Boards of Directors unanimously approved a definitive agreement under which the companies will combine in an all-stock merger of equals. The combined company will be named DowDuPont. The parties intend to subsequently separate DowDuPont into three independent, publicly traded companies, subject to regulatory and Board approval. These will include Agriculture, Material Science and Specialty Products. Upon closing of the transaction, the combined company will have a combined market capitalization of approximately $130 billion. Andrew Liveris, President, Chairman & CEO of Dow, will become Executive Chairman of the newly formed DowDuPont Board of Directors and Edward Breen, Chair & CEO of DuPont, will become Chief Executive Officer of DowDuPont; both will report to the Board of Directors. Honeywell announced that the U.S. Environmental Protection Agency (EPA) has approved a food tolerance exemption for Honeywell’s ultra-low global-warmingpotential (GWP) Solstice Propellant (HFO-1234zeE) under the Federal Insecticide, Fungicide & Rodenticide Act (FIFRA). The exemption means that Solstice Propellant can be used as an inert ingredient in pesticide formulations for applications including growing crops, grain storage, pesticides for animal uses and antimicrobial pesticide formulations for food-contact surface sanitizing solutions. The Village Co., a privately held manufacturer and marketer of personal care products, announced that it has acquired the global assets and rights associated with the Soft & Dri, La Bella, Dep, Pure & Natural, Mink Difference, Adorn, and The Dry Look brands from High Ridge Brands. Terms and conditions of the transaction were not disclosed. Consumer goods manufacturer Unilever said it would switch to using only renewable energy by 2030 and would stop using energy from coal by 2020. Under targets set in 2010, Unilever aims to be wholly powered by renewable energy and wants all electricity it buys from the grid to come from renewable sources by 2020 and make a surplus available to markets and communities where it operates by 2030. Unilever says it has saved over €400 million ($424 million) through eco-friendly measures taken at its factories since 2008 and that its brands that most fully embrace sustainability perform the best. AkzoNobel has opened a new research, development and innovation (RD&I) center in Strongsville, OH. The $10 million facility will support several of the company’s Performance Coatings businesses, including coil, extrusion and packaging coatings. Featuring full testing, scale-up and analytical capabilities, it will house more than 120 staff, including 65 scientists and technicians. The company also recently announced that it is investing approximately $3.4 million to expand its RD&I capabilities in Houston, TX. 30 Spray January 2016
