Mergers & Acquisitions Prestige Brands Holdings, Inc. announced it has entered into a definitive agreement to acquire C.B. Fleet Company, a manufacturer, marketer and distributor of feminine care and other over-the-counter healthcare products for $825 million in cash. The portfolio is anchored by Summer’s Eve in the Feminine Care category, which represents approximately 65% of the Fleet portfolio. The Smithfield Group, the managing shareholder from a private equity fund co-advised by NexPhase Capital, LP and Moelis Capital Partners LLC. L’Oréal announced the signing of a definitive agreement with Valeant to acquire the skincare brands CeraVe, AcneFree and Ambi for a cash purchase price of $1.3 billion. Air Liquide announced that its subsidiary, Seppic, designer and supplier of specialty ingredients for health and beauty, recently finalized the acquisition of the Serdex division of Bayer. This acquisition strengthens Seppic’s footprint in natural active ingredients for cosmetics. Supported by financial backing from Warburg Pincus and led by former Revlon CEO Alan Ennis, Glansaol has entered the prestige beauty scene with the acquisition of Laura Geller, Julep and Clark’s Botanicals. Terms were not disclosed. According to the company, Glansaol means “pure life” in the Irish language and is pronounced “Glan-Sale.” It will operate an integrated portfolio of global beauty and personal care brands, diversified across segments, channels and geographies. EMCO Chemical Distributors Canada Ltd., a wholly owned subsidiary of EMCO Chemical Distributors, Inc. announced that it successfully completed the acquisition of Inortech Chimie Inc. Private equity firm Main Post Partners has made an investment in color cosmetics brand Milk Makeup. The minority investment is the first outside capital for Milk and will help management accelerate Milk’s path toward becoming a leading global brand, according to the company. 30 Spray February 2017 of Innovia Group announced it has agreed upon an offer from CCL Industries Inc. to acquire Innovia Group for CAD $1.13 billion ($754 million).
