February 2015 Spray 39 Mergers & Acquisitions The Estée Lauder Cos., Inc. acquired luxury fragrance brand Editions de Parfums Frédéric Malle. Founded in 2000 by the brand’s namesake perfumer, the Frédéric Malle collection is comprised of 21 fragrances, distributed through five stand-alone stores in New York and Paris as well as retailers Barney’s in the U.S. and Liberty on London’s Regent Street. Estée Lauder also reached an agreement to purchase skin care brand Glamglow. Founded in 2010, the prestige brand, originally known as “Hollywood’s Boutique Secret,” markets fast-acting skin treatment masks. Frédéric Malle and Glamglow are the latest acquisitions by Estée Lauder as the company seemingly races L’Oréal to acquire niche brands, particularly in the luxury skin care market. They are Estée Lauder’s third and fourth brand acquisitions in a month, and come on the heels of L’Oréal acquiring Niely Cosmeticos and Carol’s Daughter in September and November, respectively. Estée Lauder’s most recent acquisition prior to these was Smashbox Beauty Cosmetics in May 2010. L’Oréal acquired Israeli hair color technology firm Coloright. Founded in 2002, the start-up develops hair fiber optical reader technology, able to analyze hues and design hair dye formulas with pinpoint precision, according to the company. Coloright joins L’Oréal’s international R&D network. The Dow Chemical Co. announced the sale of ANGUS Chemical Co., manufacturer and distributor of nitroalkane-based chemicals, to private equity firm Golden Gate Capital. The divestiture, worth $1.215 billion, is part of Dow’s effort to reach its target of $4.5–6 billion in proceeds through the end of 2015 by shedding assets deemed non-strategic, according to the company. KODA Distribution Group struck an agreement with Lonza Group, Ltd.’s Consumer Care division to exclusively distribute hygiene and personal care products in select regions of North America. The deal includes all of Canada and 17 U.S. states, including the Northeast and much of the Midwest. Lonza will maintain direct sales of active ingredients. Personal care packaging manufacturer The Toly Group announced a new partnership with Frenchbased plastic injection molding company Coradin to produce premium, eco-friendly dispensing solutions. The partnership will focus on developing Toly’s Ecodis Premium and Standard lines. SPRAY
