December 2014 Spray 45 Mergers & Acquisitions The Esteé Lauder Cos., Inc. acquired French fine fragrance brand Le Labo, a high end brand founded in 2006 that focuses on product craftsmanship and personalization. Terms of the deal were not disclosed. Esteé Lauder also acquired Rodin Ollio Lusso, a luxury skin care brand founded in 2007 by stylist Linda Rodin. Rodin’s line of products includes face and body oils, bath lotions, hair oils and perfumes. L’Oréal further expanded its roster of U.S. beauty brands by announcing the acquisition of Carol’s Daughter. Founded in 1993 and headquartered in New York City, Carol’s Daughter was a pioneer in the natural beauty market, reporting gross sales of $27 million in the 12 months ending September 30, 2014 through mass retailers, e-commerce, the Home Shopping Network and branded stores throughout New York. Eastman Chemical Co. acquired specialty chemicals producer Taminco Corp. in a deal worth $2.8 billion. A leading producer of alkylamines and a major supplier of formic acid, Taminco operates eight production facilities and services 23 countries in the U.S., Europe, South America and Southeast Asia. The deal, expected to close by the end of 2014, stipulates that Taminco shareholders receive $26 per share of Taminco stock; Eastman assumes $1 billion in debt. AkzoNobel reached an exclusive deal with Essential Ingredients Inc., a Lawrenceville, GA-based marketer and distributor of personal care, household and industrial products. Under the agreement, Essential Ingredients will become AkzoNobel’s exclusive distributor east of the Rocky Mountains, excluding Texas. Vertellus, producer of pyridine and pyridine-derivative chemicals, completed its purchase of UK-based specialty chemicals supplier Pentagon Chemicals. Part of an effort to expand the company’s agrochemical and pharmaceutical manufacturing presence, the deal is expected to boost Vertellus’s revenue by approximately 13%, according to the company.
