Industry News Mergers 30 Spray March 2013 & Acquisitions BWAY Corp. announced it has completed the acquisition of Ropak Packaging from the LINPAC Group. Endura S.p.A., a fine and specialty chemicals company with headquarters in Bologna, Italy, and Jiangsu Yangnong Chemical Co. Ltd., Yangzhou, China, have renewed, for the next ten years, a commercial and manufacturing agreement while celebrating, at the same time, their 10th year of partnership. Together, they are a global supplier of insecticide active ingredients for the household market. Croda International Plc has acquired the assets of Innovachem, LLC of Cutchogue, NY. The acquisition adds Innovachem’s patented product portfolio to Croda’s range of ingredients for the personal care industry. Shiseido Co., Ltd. announced that Beauté Prestige International, a Shiseido Group subsidiary, and Azzedine Alaïa Couture (Richemont Group) have signed an exclusive licensing agreement for the creation, manufacturing and worldwide distribution of perfumes and cosmetics under the Azzedine Alaïa brand that will unite the two houses for the next 13 years. Financial terms of the agreement were not disclosed. Swiss specialty chemicals group Clariant signed an agreement to acquire CRM International SAS, a French manufacturer of natural ingredients for the personal care industry. The acquisition strengthens Clariant’s Industrial & Consumer Specialties Business Unit. The transaction is expected to close by the end of March 2013; financial details of the acquisition were not disclosed. Art & Fragrance SA, active in the creation, development, marketing and worldwide distribution of luxury goods, announced it has acquired all shares in the filling and logistics company Cosmetics Perfumes Services SAS (CPS), based in Ury, France, from the family owners. The terms of the transaction were not been disclosed. Coster is celebrating its 50th anniversary in 2013. When Coster started up in 1963, the company’s only product was filling equipment. At a later stage, aerosol valves were developed and the company subsequently designed and brought to market a complete offering of spray, dispensing and perfumery pumps. Over the last two decades Coster began production of custom spray caps and actuators; this period also saw the development and launch of Coster’s bag-on-valve (BOV) products. Coster recently expanded from the personal care and cosmetics industries to the pharma business, investing in a clean room with brand new equipment for the production of MDI valves. According to the company, in the past 50 years, Coster went from a small domestic firm with a few customers to a multinational group with annual turnover of £170 million ($230 million), 15 manufacturing sites, 18 agents, two sales & distribution offices and two licensees. Estée Lauder has notified state officials it is moving its operation from northern New Jersey, resulting in 85 layoffs. Instead of the 148,000-square-foot plant in Oakland, NJ, the company says it will fill and bottle fragrances at existing facilities in Melville, NY (Long Island) or Bristol, PA. Thirty-one employees in New Jersey will be offered jobs at the other plants. As part of its Global Cost Savings Initiative, Avon will close its distribution facilities in Atlanta, GA and Pasadena, CA. The move is aimed at concentrating resources on high-priority activities, boosting efficiencies and reducing costs. Orders processed at the Atlanta branch will begin to transition to Avon’s Zanesville, OH facility, and that process is expected to be completed this summer. Plans for the Pasadena facility are still in development, and orders processed at that branch are expected to transition in 2014. The American Coatings Association (ACA) has assumed the management responsibilities of the National Council to Prevent Delinquency (NCPD), a nonprofit organization dealing with the spread of graffiti vandalism, and state and local governmental activities aimed at restricting the sale of legitimate spray paint products. The council works with state and local communities to develop comprehensive anti-graffiti programs that do not infringe on the retail shelf space for spray paint. NCPD was created in 1994 after the city of Chicago, IL banned retail sales of spray paint. Since its inception, the council had been managed by Bob Hills of Hills Communications Inc., who passed way last year. More info: http://www. anti-graffiti.org/.
